Pewter Terms of Service
Effective date: [COUNSEL: date of publication]. Version of 27 October 2026, rewritten for the United States launch. Counsel has not yet signed off this wording.
1. Who we are
Pewter is run by HEIR PTE. LTD. (UEN 202449113D), a company registered in Singapore. We do business as Omega Compute. In these Terms, "Omega Compute", "we" and "us" mean HEIR PTE. LTD. Our registered office is 32 Pekin Street, #05-01, Singapore 048762. You can reach us at devs@h3ir.com.
"Pewter" means the Pewter iPhone app, the Pewter servers and programming interfaces it connects to, and the website at omegacompute.com.
By signing in to or using Pewter, you agree to these Terms. If you do not agree, do not use Pewter.
2. What Pewter does
Pewter orchestrates GPU compute. Omega Compute coordinates access to compute capacity that is supplied by third-party providers. Pewter lets people and the software agents they run:
- post requests for capacity and offers of capacity;
- match them and review the terms of a deal;
- approve actions before they take effect; and
- follow a record of what happened.
Other users appear to you only as anonymous aliases, and you appear to them the same way. This does not hide anyone from us. We know who our users are. We may share information with authorities, tax offices and others where the law requires it.
3. What is live, what is practice
Please read this section carefully.
What is live in the United States:
- Subscriptions and boosts. You can buy Pewter Pro and Pewter Foundry subscriptions, and the Insight Pass, Alert Burst and Spotlight boosts, with Apple in-app purchase. Apple takes the payment. We never see your card or bank details. Prices and renewal dates are shown in the app before you buy. A subscription renews automatically until you cancel it, at least 24 hours before the end of the current period, in your iPhone's Settings under your name and Subscriptions. Apple's rules on refunds apply to Apple purchases. [COUNSEL: confirm the US auto-renewal and cancellation wording, and whether a separate click-to-cancel notice is needed.] Boosts do not change fees, prices, payouts, referral rewards or how any deal settles, and they have no cash value.
- A wallet you control. Pewter can create or import a USDC wallet on your phone. The key stays on your phone. We never hold your key or your funds. See the Wallet disclosure.
- Levels, badges and experience points. You earn them only by using Pewter. They cannot be bought or sold and have no cash value. See the Gamification rules.
- Referrals. You can invite people with your link and earn experience points. Referral rewards are points only. No money is paid. See the Referral Program Rules.
- The Daily Forge. A free daily pack of cosmetic items, with the odds shown before you open it. See the Daily Forge rules.
What is practice:
- Orchestration is practice data for now. The orders, deals, prices, fees, balances, ledger entries and delivery figures you see in the deals part of Pewter are practice data. They are not real money and not real compute. Deals made there are not contracts for real compute and do not create any duty to pay or to deliver. The other side of a deal may be a counterparty run by us. We label simulated figures as such. Do not rely on them for any real business decision.
- We make no promise about what comes next. We may add, change or remove features, reset practice data, or stop any part of Pewter at any time. We do not promise that live compute services will launch, or when.
What is not offered: There are no payouts, no seller payouts, no escrow and no token sale or token reward in Pewter. The PEW token, if it is ever shown, exists only on a test network and has no value. You cannot earn, receive or withdraw money from Pewter. Nothing in Pewter is an offer to sell or buy any security, commodity or financial product, and nothing in Pewter promises any earnings, return or yield.
If we ever offer live services that involve real money or real compute, we will say so clearly. They will need separate order terms that you accept first. Those terms will say who supplies the compute, who you contract with, what you pay, and how any refunds and service credits work. These Terms do not make us your seller, your payment agent or your bank.
Your wallet and USDC. In this release the wallet creates or imports an address, shows a balance and receives. Sending is not switched on yet. If you use the wallet:
- You alone control your wallet and its key. We do not hold, receive, move, freeze, redirect or recover your funds or your key.
- When sending is switched on, you sign each send on your phone. Pewter pays the network fee for a send and passes your signed instruction to the network. We cannot change the amount or the recipient, and we cannot send without your signature. We may refuse a send, for example because of a limit or a sanctions check.
- A payment from your wallet is recorded on a public blockchain. We cannot reverse or change it, and wallet addresses on the blockchain stay public even after you delete your account (see our Privacy Policy).
- You are responsible for the wallet address you give us, for any taxes on your payments, and for following sanctions laws. Losing your recovery phrase or key can mean losing your funds for good.
4. Who can use Pewter
- Pewter is for business use. You confirm that you use it for the purposes of a business or profession, not for personal, family or household purposes.
- You must be at least 18 years old. [COUNSEL: the App Store age rating drafted for the US listing is 4+, which does not match this. Counsel decides.]
- If you use Pewter for a company, you confirm that you can bind that company to these Terms.
- You must not use Pewter if you are barred from doing so by law, or if you have been suspended or removed by us.
5. Your account
- Sign in with Apple is the only way to sign in. There is no password. We receive the details described in our Privacy Policy at https://omegacompute.com/policy. If you hide your email address, we only see Apple's private relay address.
- Keep your Apple Account and your device secure. You are responsible for what happens under your account.
- Agents and keys. You can create software agents and issue scoped keys for them. You are responsible for every action your agents take, for the limits you set for them, and for keeping their keys secret. Tell us at once if a key is lost or misused.
- Delete your account at any time in the app: More > Settings > Delete account. You will be asked to sign in with Apple again. We then end your sessions, ask Apple to revoke Pewter's access to your Apple Account, and delete or irreversibly pseudonymise your personal details. If a live deal is still open, deletion waits until it ends. The Privacy Policy explains what we keep.
6. Acceptable use
You must not, and must not let anyone else:
- break the law, or help anyone else break it, using Pewter;
- use Pewter by or for a person or organisation that is subject to sanctions, or for any use that breaks export-control law (see section 7);
- upload, run, send or store illegal content, or content that infringes someone else's rights;
- run malware, mining software that has not been agreed in writing, port scans, denial-of-service attacks, or any attack on a person, a network or a machine;
- try to get around limits, mandates, approvals, rate limits or security controls, or to reach another user's account, data or identity;
- try to find out who another user is, or try to contact other users outside Pewter to get around the alias system;
- use or process personal data of other people in a workload, unless we have agreed this in writing beforehand;
- scrape, copy or reverse engineer Pewter, or use it to build a competing service, except where the law lets you;
- send false, misleading or abusive requests, offers, reports or messages;
- put an unreasonable load on Pewter; or
- resell, sublicense, or pass on access to Pewter or to compute capacity obtained through it, unless we have given you written permission first.
We may investigate suspected breaches, remove content, and stop or limit access to protect Pewter, other users or third parties.
7. Sanctions and export controls
- You confirm that you, your owners and anyone you act for are not the target of sanctions or restrictions imposed by the United Nations, the United States, the European Union, the United Kingdom or Singapore.
- You must not use Pewter by, for, or for the benefit of a sanctioned person, or in or for a destination or organisation that is restricted under sanctions or export-control law.
- Advanced GPU hardware and access to it can be subject to export-control rules. These rules can depend on where an organisation is headquartered or who owns it, not only where its users sit. You must not use Pewter in a way that would cause us or anyone else to break these rules.
- We may ask you for information about your identity, location, ownership and use. We may refuse, limit, suspend or end access, delay or stop a deal, or report to authorities if we think this is needed to follow these rules. We may do this without notice where the law requires.
- We may restrict access by country or by organisation. Where live services are offered, we will apply screening, and the restrictions that apply will be set out in the order terms.
8. Third-party providers and your content
- Compute capacity is supplied by third-party providers. They are independent from us. We do not own the hardware, and we are not the provider of the capacity unless the order terms for a live service say so.
- We coordinate access. We may measure availability, route your jobs through our gateway, and apply limits. This does not mean we promise any level of performance.
- You keep your rights in your content and workloads. You give us the limited right to host, route, process and display them as needed to run Pewter for you.
- Do not put personal data, secrets, or sensitive material in workloads on standard capacity. Third-party machines may be run by people who can see what runs on them. We cannot prevent this on ordinary hosts. You use them at your own risk, and you are responsible for what you send.
- You are responsible for your content and workloads and for having the rights and permissions you need.
- Any specific rules for live compute, such as the data processing terms we will offer to business customers, will be in the order terms.
9. Privacy
Our Privacy Policy at https://omegacompute.com/policy explains how we handle personal data. Please read it. It is not part of the contract, and it does not limit your legal rights.
10. Our rights and yours
- Pewter, its design, code, text and marks belong to us or our licensors. We give you a personal, limited, non-exclusive, non-transferable, revocable right to use Pewter under these Terms.
- You keep ownership of what you submit.
- If you send us ideas or feedback, we may use them without paying you or crediting you.
- Some parts of Pewter may use open-source software that has its own licence. Those licences apply to those parts.
11. Availability and service credits
- Pewter is provided "as is" and "as available". Subscriptions and boosts bought through Apple do not carry service levels or service credits.
- We give no guarantee that Pewter will be available, error-free, secure, or free from interruptions, or that results or figures shown (including prices, matches, uptime and earnings) are accurate or will recur.
- If we offer paid live services, the service levels and service credits will be set out in the order terms. A service credit is a reduction in future fees for the period in which a service level was missed. Credits are capped at the fees you paid for the affected period. Unless the law gives you more, service credits are your only remedy for missing a service level.
12. Disclaimers
To the fullest extent the law allows, we give no warranties, whether express or implied, including any about quality, fitness for a particular purpose, non-infringement, or that Pewter will meet your needs. Pewter is not financial, legal, tax or investment advice. Nothing in Pewter is an offer to sell or buy any security, commodity, derivative or financial product.
13. Limits on our liability
This section limits what you can claim from us. It does not apply to anything that the law does not allow us to limit.
- What we do not exclude. Nothing in these Terms excludes or limits our liability for fraud or fraudulent misrepresentation, for death or personal injury caused by our negligence, for intentional misconduct, or for anything else that cannot be excluded or limited by law.
- Your legal rights. If you are a consumer in a place where the law gives you rights that cannot be waived, those rights stay in place. Nothing in these Terms takes them away. Pewter is intended for business use, but this protects you if you are a consumer anyway.
- What we are not liable for. Subject to points 1 and 2, we are not liable for loss of profit, revenue, business, goodwill or data, or for any indirect or consequential loss, and we are not liable for failures of third-party providers, networks, or events outside our reasonable control.
- Cap. Subject to points 1 and 2, our total liability to you for all claims arising out of or in connection with Pewter in any 12-month period is limited to the greater of (a) the fees you paid us for Pewter in that period and (b) S$100. For paid live services, remedies for missed service levels are limited to service credits, as set out in section 11.
- We are not responsible for what other users, agents or third-party providers do. Where the law allows, you are responsible to us for your own use, including your agents.
[COUNSEL: confirm that these limits are acceptable now that Pewter sells subscriptions and boosts to United States users.]
14. Your responsibility to us
If you use Pewter for business, you agree to compensate us for losses, costs and claims brought by a third party that arise from your breach of section 6 or 7, or from your content or workloads. This section does not apply to you if you are a consumer.
15. Suspension and termination
- You can stop using Pewter at any time, and can delete your account as described in section 5.
- We may suspend or end your access, or end any part of Pewter or Pewter as a whole, at any time. Where we reasonably can, and where it is lawful and safe, we will give you 14 days' notice. We may act immediately if you seriously or repeatedly breach these Terms, if we need to protect Pewter or others, or if the law requires.
- When your access ends, your right to use Pewter ends. Sections that by their nature should continue (including 6, 7, 10, 12, 13, 14, 17 and 18) continue.
- What happens to your data is explained in the Privacy Policy.
16. Changes to these Terms
We may change these Terms, for example to reflect changes in Pewter or in the law. We will post the new version at https://omegacompute.com/terms with a new effective date. For material changes, we will give you at least 30 days' notice in the app or by email to the address we hold for you, unless a shorter period is needed to follow the law or to protect Pewter or users. If you do not agree to a change, stop using Pewter and delete your account before it takes effect. If you keep using Pewter after the change takes effect, you accept it. The changes will not apply to a dispute that already began.
17. Governing law and disputes
- Law. These Terms, and any dispute arising out of or in connection with them or with Pewter, are governed by the laws of Singapore.
- Talk to us first. If you have a complaint or dispute, email devs@h3ir.com. We will try to resolve it in good faith within 30 days.
- Arbitration for business users. If the dispute is not resolved, it will be finally settled by arbitration under the Arbitration Rules of the Singapore International Arbitration Centre (SIAC) in force when you start the arbitration. The seat is Singapore. There will be one arbitrator. The language is English. Either of us may ask any court for urgent interim relief, such as an injunction, to protect intellectual property or confidential information.
- United States. [COUNSEL: US governing-law, venue and arbitration carve-outs for US users (state consumer-law rights that cannot be waived, small-claims access, and whether SIAC arbitration in Singapore is acceptable for US users). Not drafted.]
- Consumers. This section 17 does not take away your rights if you are a consumer. If you are a consumer, the mandatory consumer protection laws of the country where you live still apply to you. You may also bring a claim in the courts of the country where you live where the law allows, and we will not require you to arbitrate.
18. Apple
These Terms are between you and us. They are not with Apple. Apple is not responsible for Pewter or its content, for maintenance or support, or for dealing with claims about it, such as product liability, legal or regulatory claims, or claims about intellectual property. If Pewter fails to meet any warranty that applies, you may tell Apple, and Apple may refund any purchase price (Pewter is free). Apple and its subsidiaries are third-party beneficiaries of these Terms for Pewter on iOS and may enforce them against you. You must also follow the Apple Media Services terms that apply to you. You confirm that you are not in a country under a United States government embargo or listed as a restricted party.
19. General
- Whole agreement. These Terms, together with any order terms we give you, are the whole agreement between us about Pewter. They replace any earlier agreement about it.
- If a part does not work. If a part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a right straight away, we do not give it up.
- Transfer. You may not transfer your rights or duties under these Terms without our written consent. We may transfer ours to a company that takes over Pewter or our business, and we will tell you if we do.
- Third parties. Except for Apple as stated in section 18, no one who is not a party to these Terms has a right to enforce them under the Contracts (Rights of Third Parties) Act 2001 of Singapore.
- Notices. We may give you notice in the app, on the website, or by email to the address we hold for you. You can give us notice at devs@h3ir.com.
- Language. If these Terms are translated, the English version prevails, except where the law of your country says otherwise.
